Signature Lifestyle Partnership Agreement

1. Introduction

This Partnership Agreement ("Agreement") formalizes the collaboration between Signature Lifestyle, the concierge and lifestyle services division of The Nigerent Company, and [Partner Business Name], a To be confirmed business.

The purpose of this Agreement is to outline the terms, responsibilities, and commercial arrangements under which both parties will work together to deliver exceptional lifestyle experiences to Signature Lifestyle members, guests, and clients.

2. Parties

3. Purpose of the Partnership

  • Increase brand visibility for the Partner.
  • Generate qualified customer referrals.
  • Create mutually beneficial marketing opportunities.
  • Build a long-term strategic business relationship.

4. Commercial Terms

The Parties agree to the following commercial arrangement, as offered by the Partner:

  • Discount / commission / exclusive benefit: To be confirmed
  • Eligible services: To be confirmed
  • Advance booking required: No

Eligibility: The agreed benefit shall apply only to guests or clients verified by Signature Lifestyle.

Reporting (Optional): The Partner agrees to provide periodic reports on redeemed referrals or completed transactions where applicable.

Fees: No fees shall be payable by either Party unless separately agreed upon in writing.

5. Roles and Responsibilities

Signature Lifestyle agrees to:

  • Recommend the Partner to eligible guests and clients.
  • Feature the Partner across its website, mobile platform, newsletters, and social media channels where appropriate.
  • Include the Partner within concierge recommendations and curated lifestyle experiences.
  • Promote exclusive offers, campaigns, or experiences.
  • Verify eligible guests before referral.

The Partner agrees to:

  • Deliver high-quality products and/or services.
  • Honour the agreed partnership benefits.
  • Maintain professional customer service standards.
  • Ensure referred guests receive the agreed experience.
  • Participate in agreed marketing or promotional campaigns where applicable.

6. Guest Verification Process

The following verification process shall apply:

  1. Guests request a service through Signature Lifestyle.
  2. Signature Lifestyle verifies guest eligibility.
  3. A referral confirmation or verification code is issued.
  4. The guest presents the verification to the Partner.
  5. Partner validates the referral.
  6. Agreed partnership benefit is applied.
  7. Transaction is recorded for reporting purposes (where applicable).

7. Marketing and Brand Collaboration

Signature Lifestyle agrees to:

  • Recommend the Partner to its guests and clients.
  • Feature the Partner across Signature Lifestyle marketing channels.
  • Include the Partner in curated experiences and concierge recommendations.
  • Promote collaborative campaigns, seasonal offers, and exclusive experiences.

The Partner agrees to:

  • Display that it is an official Signature Lifestyle Partner.
  • Promote approved collaborative campaigns.
  • Use approved Signature Lifestyle marketing materials in accordance with brand guidelines.

Both Parties agree to maintain professional representation and protect each other's brand reputation.

8. Operational Understanding

Nothing in this Agreement shall interfere with the Partner's internal operational policies, pricing, scheduling, booking procedures, or service delivery processes. All services remain subject to availability, reservation or booking policies, capacity limitations, applicable business policies, and the Partner's operating hours:

9. Confidentiality

Both Parties agree to keep confidential any non-public business, commercial, customer, or operational information obtained through this partnership. Confidential information shall not be disclosed to any third party without prior written consent unless required by law.

10. Intellectual Property

Each Party retains ownership of its trademarks, logos, brand assets, and intellectual property. Neither Party may use the other's branding without prior written approval, except for agreed partnership promotions.

11. Term and Termination

This Agreement shall commence on the Effective Date and remain in effect until terminated. Either Party may terminate this Agreement by providing 30 days' written notice to the other Party. Termination shall not affect obligations incurred before the termination date.

12. Limitation of Liability

Each Party shall remain solely responsible for its own operations, employees, products, and services. Neither Party shall be liable for indirect, incidental, or consequential losses arising from this partnership except where required by law.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

14. General Provisions

This Agreement represents the entire understanding between the Parties regarding this partnership. Any amendments must be made in writing and signed by both Parties. Nothing in this Agreement creates an employment relationship, agency, joint venture, or legal partnership beyond the scope of this collaboration.

By signing below, both Parties confirm that they have read, understood, and agreed to the terms of this Partnership Agreement. An electronic signature applied through the Signature Lifestyle partner portal has the same legal effect as a handwritten one.
